my measure for dialouge in comic book movies is as follows:
"its really good when I don't notice how bad it is"
I'd say spiderman 2 either slipped under my fine-tuned grammar and cliche' radar while it wowed me with fighting, or it was more than passable to begin with. Its probably a little of both.
But seriously, this movie was better than any superman flick, any batman flick (maybe), and much better than any other traditional comic book adaptation. Thats plenty for me when I go into the theater expecting to see something along the lines of "Batman and Robin".
