Finally saw this on DVD last night, and my response is mixed.
What I liked:
The animation and special effects were *fantastic*, and light-years ahead of the original GITS. I regret never seeing it on the big screen. It also had plenty of the creepiness factor that made the first GITS so intriguing.
What I disliked:
I thought the plot was even more convoluted than the first film's (which, by the by I thought was a negative of the original as well). Later in the film, it seemed like every other line was a literary or philosophical quote, so much so I didn't know if I was watching GITS or a parody of same. I was just waiting for Batou to say "The marksman aims at his own heart," or some other bullshit like that (apologies to "Tremors 3"). If half the dialogue had been shaved off this film, it would have been much better.
Though GITS:SAC didn't come to mind as I was watching it, I can totally see what some people would make that comparison. The end of the first GITS hit me like a ton of bricks. The end of "Innocence" was more like, "I see what he was talking about. Next!"
Did I think it was good. I thought it was decent, yes; probably those who haven't seen GITS would get more out of it. For me though, I expected a little more.
